Not exchanging items

I bought track pant of uspa from shopping mall .i would like to exchange the size from large to medium. us POLO services say that shopping mall not authorised to sell us POLO brand.if I purchased from us POLO store than only it is possible.
I would like to know that how someone can sell the items without agreement of such a brand.
